1.1. This End User License Agreement("EULA") is a legal agreement between you ("You"), either a person or a single entity, such as a company or organization, and ADocLib ("ADocLib") for the use of an edition of ADocLib software product and/or all related documentation ("SDK"), which you have purchased or downloaded for evaluation purposes.
1.2. By downloading, installing, copying, or otherwise using the SDK, you agree to be bound by the terms of the ADocLib End User License Agreement.
ADocLib grants You the rights described in this EULA provided that You agree to all the terms and conditions of this EULA. Except for termination for cause, ADocLib grants to You only, unless otherwise limited by the license purchased or granted, the nonexclusive, nontransferable, perpetual, worldwide right to use ADocLib SDK in accordance with this EULA. This is a license agreement and not an agreement for sale. ADocLib owns the title, copyright, and other intellectual property rights in the SDK. The SDK is licensed, not sold. The SDK is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
In order to facilitate an efficient evaluation process of the licensed SDK by developers, ADocLib may, at its discretion, provide a specially designed, temporary "Evaluation License Key" that is encoded with an embedded expiration date. Licensed evaluation trial SDK contains mechanisms that inhibit its ability to function at a later date.
2.1.1. Evaluation License allows users to fully evaluate the SDK during an evaluation period of 45 days from the date the SDK is first used.
2.1.2. Evaluation License unlocks all features of the SDK for 45 days, thus providing for testing an ultimate edition of the SDK.
2.1.3. Evaluation License is provided for evaluation purposes only, not for production use.
ADocLib entitles the use of the SDK according to one of the following commercial license plans. Each license plan entitles the use of the SDK by a specific number of developers to create custom applications. The applications using the SDK can be distributed to an unlimited number of PCs and servers. Licenses are non-transferable between developers.
2.2.1. Standard License entitles the use of the SDK by one developer to create custom applications. This license plan is licensed per individual developer. A Standard License must be purchased for each developer utilizing The SDK to create custom applications.
2.2.2. Pro License entitles the use of the SDK by up to 10 developers to create custom applications.
2.2.3. Unlimited License entitles the use of the SDK by an unlimited number of developers to create custom applications.
3.1. Each developer working with the SDK requires a license. Licenses are non-transferable between developers. You agree to ensure that anyone who uses any portion of the licensed SDK provided to You complies with the terms and conditions of this EULA.
3.2. You may not sublicense, rent, lease, assign or otherwise transfer the licensed SDK or any of your rights thereto, either in whole or in part, to anyone else, except that You may, after obtaining written permission from ADocLib, permanently transfer the licensed SDK in its entirety, provided You retain no copies of the licensed SDK and the transferee agrees to the terms and conditions of this EULA.
3.3. Use of the licensed SDK with a license key obtained from a source other than ADocLib or its authorized resellers is expressly and strictly forbidden. ADocLib reserves the right to take any and all actions that ADocLib in its sole discretion, deems necessary to protect against, monitor, and control the use of the licensed SDK with illegal license keys.
4.1. No extra-fees are payable for the SDK server deployment. ADocLib SDK may be used on any server, as long as access to the functionalities of the SDK is done via your own software and into your own machine. That mean, the public should not have direct access to the SDK binaries or key. The SDK may be installed on any third-party hosting server as long as each developer working with the SDK owns a license. The SDK may be installed on a shared hosting server, provided that each customer access to the SDK owns a license. The SDK may not be installed on a hosting provider's server with a single license used by all the hosting provider's customers. You are not allowed to publish web applications, using the SDK on the client-side, on a public website. This is allowed only in private intranets.
4.2. Legally purchased SDK can be distributed with your applications (on PCs or servers) on a royalty-free basis. In other words, You can distribute as many applications using the SDK as you wish, without restrictions or royalties. You agree that You are licensing the SDK for its end use only and not for resale or re-distribution.
A renewal subscription is available to any current version customer and grants the customers to updates of ADocLib SDK and access to the SDK fixes for one year. The initial purchase of the SDK includes a free 1-year renewal service. Therefore, You may renew the subscription annually beyond the maintenance. If You are using an updated version of the SDK, You agree by your installation and use of such version to promise that You will not continue to use the earlier version of the SDK or transfer it to another person or entity unless such transfer is otherwise valid according to the terms of this EULA.
6.1. No warranties. ADocLib expressly disclaims any warranty for SDK. ADocLib SDK and any related documentation are provided "as is" without warranty of any kind, either expressed or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The entire risk arising out of the use or performance of the SDK remains with You.
6.2. No liability for consequential damages. In no event shall ADocLib or its distributors be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SDK and related materials, even if ADocLib has been advised of the possibility of such damages.
The license fees and any amounts payable pursuant to the terms and conditions herein are exclusive of any taxes or duties, now in force or enacted in the future, in the jurisdiction where the payment is either made or received. To the extent that any such taxes or duties are payable by ADocLib, You must pay to ADocLib the amount of such taxes or duties in addition to any fees owed under this EULA.
This EULA is the entire agreement between You and ADocLib relating to the license of ADocLib SDK and the support services (if any) You purchase hereunder and it supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the SDK or any other subject matter covered by this EULA. To the extent terms of any ADocLib policies or programs for support services conflict with the terms of this EULA, the terms of this EULA shall control. ADocLib reserves the right of updating this EULA at any time. Please check frequently for any updates or changes to this EULA. This EULA was last updated on December 16th, 2020, and replaces any other EULA previously applicable from this date.
